Terms of service
This is the agreement between you and Setttle. It explains how the service works, what each of us is responsible for, and how your data and subscription are handled.

1. Who this is between
This agreement is between you and Countback Inc. (“Setttle”, “we”, “us”). If you use Setttle on behalf of a business, you confirm you are authorized to accept these terms for that business.
Each company you keep in Setttle is a separate set of books with its own chart of accounts and base currency. Books are isolated from every other company on the platform.
2. Using Setttle
Setttle is a record-keeping and billing product for Canadian service businesses. It keeps a double-entry ledger, helps you reconcile bank activity against it, and lets you invite an accountant or connect an AI agent.
Setttle is not payroll, inventory, point of sale, or a tax-filing service. You are responsible for the records you enter and for the filings you make.
3. Your account
You must provide accurate information, keep your credentials private, and tell us promptly if you believe someone else has access to your account. You are responsible for activity under your account and for the access you grant to collaborators, accountants, and agents.
You must be old enough to enter a contract where you live. If you invite someone to your workspace, you confirm you have the right to give them the access you grant.
4. Your books and data
Your financial data belongs to you. We process it to provide the service, and you can export it — including source documents and metadata — at any time.
The ledger enforces accounting rules: entries must balance in the company's base currency, and corrections to posted entries preserve the original and add a linked record. Posted entries remain in the books unless you delete the entire company and its records after completing the deletion steps below.

5. Plans and fees
Setttle is billed in Canadian dollars. Micro is $9 CAD per month for one company and up to 20 invoices per month. Max is $19 CAD per month for unlimited companies and includes receipts and recurring invoices. Prices and plan contents are listed on the pricing page and may change with notice.
The Max trial runs for seven days and does not require a payment method. If you do not add one before the trial ends, the subscription cancels automatically and you are not charged. Paid subscriptions renew until you cancel; fees already paid are non-refundable except where required by law.
6. Setttle Payments
Setttle Payments lets you accept online invoice payments through Stripe. Payments are processed by Stripe under its own terms, and Setttle charges a 1% fee on each online invoice total, including sales tax, in addition to Stripe's processing and invoicing fees. The fee is disclosed and accepted before activation.
Manual payments — e-transfer, cheque, cash, and other offline methods — carry no Setttle payment fee. You manage refunds and disputes in Stripe. Setttle payment fees are retained on refunds unless Setttle separately refunds them. Stripe processing, fees, refunds, disputes, and payouts are retained as provider facts so you can reconcile them; Setttle does not classify those amounts as expenses or post journal entries for you.
7. Acceptable use
You agree not to:
- use Setttle for unlawful activity, including money laundering or tax evasion;
- upload data you do not have the right to provide;
- attempt to access another company's books or another user's account;
- reverse engineer, resell, or overload the service, or use it to build a competing product; or
- misrepresent Setttle's output as a filing, an audit, or a professional opinion.
8. Intellectual property
Setttle and its software, design, and branding are ours or our licensors', and we give you a limited right to use the service under this agreement. You keep all rights to your own data and content.
If you send us feedback, you allow us to use it to improve the product without obligation to you.
9. Third-party services
Setttle relies on providers for hosting, database, authentication, payments, email, AI processing, and bank connectivity. When you connect a bank or accept payments, you also accept that provider's terms. We are not responsible for a provider's acts or omissions, but we choose providers carefully and describe them in the privacy policy.
10. Disclaimers
Setttle is software, not an accounting firm, law firm, or tax adviser. It does not provide accounting, tax, legal, or investment advice, and it does not replace a professional. See the tax disclaimer for detail.
The service is provided “as is”. We work to keep it accurate and available but we do not warrant that it will be uninterrupted or error-free, or that it will meet every regulatory requirement that applies to you.
11. Limitation of liability
To the extent permitted by law, Setttle is not liable for indirect, incidental, or consequential losses, lost profits, or lost data arising from your use of the service. Our total liability under this agreement is limited to the amount you paid us in the twelve months before the claim.
Nothing here limits liability that cannot be limited by law.
12. Ending the agreement
You can cancel at any time from your account. We can suspend or end your access if you break this agreement, if required by law, or if we discontinue the service with reasonable notice.
Cancelling a subscription leaves your company records readable and exportable. Before permanently deleting a company, its owner must disconnect its bank and payment services, download a recent complete export, and enter the confirmation code inside that archive. Company deletion removes its books and stored source files, subject to any records that we or our providers must retain under applicable law or backup schedules.
If you use a managed Setttle Payments account, contact support to close it before deleting the company.
13. Changes
We may update these terms. If a change is material we will tell you before it takes effect, and continuing to use Setttle after that means you accept the new terms.
14. Governing law
This agreement is governed by the laws of the Province of Manitoba and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The courts of Manitoba have exclusive jurisdiction over disputes.
